MORRISVILLE, N.C.–(BUSINESS WIRE)–Oxygen Biotherapeutics, Inc., (NASDAQ: OXBT) a specialty pharmaceutical company focused on developing and commercializing a portfolio of products for the critical care market, announced today that it has priced an underwritten public offering of shares of common stock at a public offering price of $5.60 per share for gross proceeds of approximately $52 million, prior to deducting underwriting discounts and commissions and offering expenses payable by the Company. The Company has also granted the underwriters a 45-day option to purchase up to an additional 1,392,857 shares of common stock to cover over-allotments, if any.

The Company intends to use the net proceeds received from the offering for furthering its clinical trials and efforts to obtain regulatory approval for Levosimendan and Oxycyte, developing its other product candidates, supporting manufacturing of Levosimendan and Oxycyte, research and development and general corporate purposes.

The offering is expected to close on or about March 21, 2014, subject to satisfaction of customary closing conditions. Ladenburg Thalmann & Co.
