1. Acceptance of These Terms


IMPORTANT — PLEASE READ CAREFULLY. THESE TERMS CONTAIN AN OBLIGATION TO ARBITRATE ANY DISPUTES HEREUNDER AND A CLASS ACTION WAIVER.
By accessing, visiting, or using this website (the “Site”) and the content and services made available on it (collectively, together with the Site, the “Service”), you accept and agree to these Website Terms of Use (“Terms”) and to our privacy policy (the “Privacy Policy”), which is hereby incorporated by reference. These Terms form a legal agreement between you and MTS Health Partners, L.P. [and its affiliates (including MTS Securities LLC and MTS Health Partners G.K.)] (together, “MTS,” “we,” or “us”). If you do not agree with these Terms, do not use the Service.

Upon changing these Terms, we will update the ‘Last Updated’ date at the top of these Terms and changes will become effective upon posting. Your continued use of the Service after any change constitutes acceptance of the most recent version of these Terms. If you do not agree with any of the changes, do not continue to use the Service.     The Site is operated by MTS Health Partners L.P., 623 Fifth Ave 14th Floor New York, NY, a Delaware limited partnership engaged in financial consulting. Securities transactions may be effected through our affiliate, MTS Securities, LLC, a FINRA-registered broker-dealer and SIPC member. You may check the background of this firm on FINRA’s BrokerCheck. References to “Affiliates” include our current and future brands, subsidiaries, and affiliated entities.

    All content on the Site — including text, graphics, logos, images, software, design elements, templates, layout, and interactive features (collectively, “Content”) — and all trademarks, service marks, and logos (“Marks”) are owned by or licensed to MTS and protected by U.S. and international intellectual property laws. You may not use any Content or Marks without our prior written consent.

    6.  Permitted Use

    Subject to your compliance with these Terms, you may view, copy, download, and print pages of the Site for your personal, non-commercial use only. Copying or downloading Content does not transfer title to you, and you must retain all copyright and proprietary notices included in the Content. You may not modify, reproduce, distribute, transmit, display, perform, publish, license, frame, create derivative works from, or otherwise commercially exploit any Content without our prior written consent. We reserve all rights not expressly granted herein.

    7.  Restrictions on Use

    In using the Service, you agree that you will not:

    You may not use the Service in any jurisdiction where doing so would be contrary to applicable law or where MTS is not authorized to provide the Service.

    Any feedback, messages, or other communications you submit (“User Submissions”) will be considered non-confidential and non-proprietary, except for personal information, our use and disclosure of which is governed by the Privacy Policy. You represent that you own or have the rights to, and you agree to pay any royalties or fees owed to third parties for, any and all User Submissions. MTS does not endorse any User Submission and disclaims all liability in connection with User Submissions. You hereby grant to MTS a royalty-free, fully paid-up, worldwide, perpetual, irrevocable, non-exclusive, sublicensable (through multiple tiers), and transferable license to use, modify, reproduce, distribute, transmit, display, perform, publish, sublicense, frame, create derivative works from, and otherwise commercially exploit any User Submission for any lawful purpose.

    9.  Links to Third-Party Sites

    The Site may contain links to third-party websites and services that MTS does not control. These links are provided for convenience only and do not imply endorsement, sponsorship, or affiliation. We are not responsible for the content, privacy practices, or terms of any third-party website or service, and you access them entirely at your own risk.

    10.  Disclaimer of Representations and Warranties

    THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN “AS IS,” “WHERE IS,” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MTS AND ITS AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AGENTS, AND VENDORS (COLLECTIVELY, THE “MTS PARTIES”) DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. THE MTS PARTIES DO NOT WARRANT THAT THE SERVICE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT IS ACCURATE, RELIABLE, COMPLETE, OR CURRENT. APPLICABLE LAW MAY NOT ALLOW CERTAIN EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.

    11.  Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE MTS PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, OR ANY DAMAGES BASED ON LOST PROFITS OR REVENUE, BUSINESS INTERRUPTION, DIMINUTION IN VALUE, LOSS OF CUSTOMERS, LOSS OF REPUTATION OR MULTIPLES OF EXPECTED FINANCIAL PERFORMANCE, IN EACH CASE EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE MTS PARTIES BE LIABLE FOR DAMAGES IN EXCESS OF ONE HUNDRED DOLLARS ($100.00).

    12.  Indemnification

    You agree to indemnify, defend, and hold harmless the MTS Parties from any claim, demand, suit, judgment, award, loss, liability, damage, fee, cost, and expense (including reasonable attorneys’ fees) arising from (a) your use or misuse of the Service, (b) your breach of these Terms or applicable law, or (c) your violation of any third-party right. We may assume exclusive defense of any matter subject to indemnification, and you may not settle any matter affecting our rights without our prior written consent.

    13.  Your Representations

    You represent and warrant that (a) all information you provide is true, current, and not misleading and you will keep it current; (b) you will not access the Service under a false identity; and (c) you will use the Service lawfully and in good faith.

    14.  Age Requirement

    The Service is offered only to users who are 18 years of age or older. By using the Service, you represent that you are at least 18. You agree not to submit any personal information about a person under 18.

    15.  Dispute Resolution — Arbitration and Class Waiver

    You and MTS agree to resolve any dispute arising out of or relating to these Terms or the Service through confidential, binding individual arbitration, administered under the American Arbitration Association’s Commercial Arbitration Rules. The arbitration shall be conducted remotely by videoconference, teleconference, or other mutually accessible electronic means. The arbitrator’s award is final and may be entered in any court of competent jurisdiction. YOU AND MTS WAIVE ANY RIGHT TO A JURY TRIAL AND TO BRING OR PARTICIPATE IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Notwithstanding the foregoing, MTS may seek injunctive relief in court to protect its intellectual property rights.

    16.  Governing Law and Jurisdiction

    These Terms are governed by the laws of New York, without regard to conflict-of-law principles. Subject to the arbitration provision above, you and MTS submit to the exclusive jurisdiction of the state and federal courts located in New York, New York.

    17.  General

    These Terms constitute the entire agreement between you and MTS regarding the Service and supersede all prior agreements on the subject. If any provision of these Terms is held invalid or unenforceable, it will be modified or severed to the minimum extent necessary and the remaining provisions of these Terms will remain in effect. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction. Our failure to enforce any provision of these Terms is not a waiver thereof. We may terminate or suspend your access to the Service at any time, with or without notice, for any reason.

    18.  State-Specific Notices
