Firm set to expand into new areas

New York, January 3, 2008 – MTS Health Partners, L.P. (“MTS”), the New-York based healthcare merchant bank, announced today that Andrew J. Weisenfeld and Mark E. Epstein have joined the firm as Senior Managing Directors. With the addition of these new partners, MTS will be expanding its advisory business to include the life sciences sector and private financings. The appointments were effective December 31, 2007.

Mr. Weisenfeld, 40, will be focused on expanding MTS’ advisory business to include the life sciences sector. Mr. Weisenfeld has been an investment banker since 1989. He was formerly a Managing Director in Banc of America Securities’ Corporate and Investment Banking Healthcare Group, where he co-headed the life sciences practice, providing strategic advisory and capital raising services to both publicly traded and private companies. From 1997 to 2003, he was a Managing Director at Chase Securities and then its successor company JP Morgan Securities, leading the Healthcare M&A business across all sectors of healthcare. Earlier, he spent over five years in the M&A Group at Merrill Lynch.

Throughout his career, Mr. Weisenfeld has worked on a wide range of strategic advisory transactions including mergers, acquisitions, divestiture and sale transactions as well as strategic relationships, totaling over $46 billion in M&A deal volume. While at Banc of America, Mr. Weisenfeld raised more than $8 billion of both public and private capital, including a combination of equity and debt securities, for his life sciences clients.

Mr. Weisenfeld holds an MBA from The Wharton School at the University of Pennsylvania and a BS degree from Cornell University.

Mr. Epstein, 37, will be responsible for expanding MTS’ capabilities beyond strategic advisory services and private equity to include private capital raising capabilities for both private and public companies. He was previously a Managing Director and co-head of the Private Equity Placements Group at Banc of America Securities. Prior to joining Banc of America in 1999, he was a Vice President and co-head of direct private equity placements at Merrill Lynch & Co. He also helped establish the private equity placement practice at Prime Charter, where he spent three years. Mr. Epstein began his career at Dean Witter Reynolds in 1992.

Mr. Epstein has fifteen years of direct private equity placement experience with a strong focus on transactions within the healthcare sector. He has completed approximately 100 private financings for clients, raising over $5 billion in private capital. His transaction experience encompasses a wide range of private equity and equity-linked products, including traditional private equity financings, common stock and structured PIPEs, mezzanine financings and special purpose vehicles. He has been involved in financing traditional growth equity, spinouts, acquisitions, secondary sales, start-ups, sidecars and a variety of special situations. Mr. Epstein earned his BS from The Wharton School of Business at the University of Pennsylvania, graduating magna cum laude.
